Court approves convening of scheme meeting
Twinza refers to its previous announcements of 19 February 2025 and 30 July 2025 regarding the proposed debt for equity swap by way of a creditors’ scheme of arrangement (Scheme) proposed by its Senior Lenders (Scheme Creditors).
First court hearing
On 6 August 2025, the Federal Court of Australia (Court) made orders in relation to the Scheme including:
that Twinza convene and hold a meeting of Scheme Creditors (to consider and vote on the Scheme (Scheme Meeting) to be held at 10:00am on Friday, 12 September 2025 in person at FTI Consulting, Central Park, Level 47/ 152-158 St Georges Terrace, Perth WA 6000, and electronically; and
approving the distribution of the scheme booklet providing information about the Scheme (Scheme Booklet) and a notice of Scheme Meeting to Scheme Creditors.
The proceeding was adjourned to 10:30am AWST on 23 September 2025, for the hearing of an application before the Court to approve the Scheme (Second Court Hearing).
Shareholders and subordinate claim holders, including the preference shareholders will have an opportunity to seek to be heard in relation to the scheme at the Second Court Hearing.
Twinza confirms that the Scheme Booklet was dispatched to Senior Lenders on 7 August 2025.
