Court approves convening of Scheme Meeting
Twinza refers to its previous announcements of 20 November 2025 and 23 January 2026 regarding the proposed debt for equity swap by way of a creditors’ scheme of arrangement (Scheme) proposed by its Senior Lenders (Scheme Creditors).
First court hearing
On 12 February 2026, the Federal Court of Australia (Court) made orders in relation to the Scheme including:
that Twinza convene and hold a meeting of Scheme Creditors (to consider and vote on the Scheme) (Scheme Meeting) to be held at 12pm AWST on Tuesday, 24 February 2026 in person at FTI Consulting, Central Park, Level 47/152-158 St Georges Terrace, Perth, WA, 6000, and electronically; and
approving the distribution of the scheme booklet providing information about the Scheme (Scheme Booklet) and a notice of Scheme Meeting to Scheme Creditors.
The proceeding was adjourned to 10:15am AWST on Tuesday, 10 March 2026, for the hearing of an application before the Court to approve the Scheme (Second Court Hearing).
Shareholders, CRPS holders and subordinate claim holders, will have an opportunity to seek to be heard in relation to the Scheme at the Second Court Hearing. Please note that, given the Scheme is a creditors’ scheme of arrangement, the timetable for the Scheme is shorter than what would ordinarily apply to a members’ scheme of arrangement.
If you intend to seek to be heard in relation to the Scheme, please advise Twinza or the receivers as soon as possible.
Twinza confirms that the Scheme Booklet was dispatched to Senior Lenders on 13 February 2026.

A copy of the Scheme Booklet, which includes the independent expert’s report, has been made available to security holders on the Receivers’ website:

In order to access the Scheme Booklet, which is not otherwise available to the general public, security holders will need to provide certain acknowledgements and an access code to access these materials. Security holders will receive an access code from the Receivers by email or post to the address nominated to Twinza.
